"Services" - any professional deliverables, consultancy, or work product provided by the Company as described on the Website. "Quotation" - a project-specific fee proposal issued by the Company. "Website" - cloudlesspv.com and all pages, tools, forms, and portals accessible through it.

2. Services & Online Tools

The Company provides professional consultancy services as described on the Website. Any calculators, configurators, or interactive tools available on the Website produce indicative outputs only and do not constitute a binding offer or commitment. The Company may modify or discontinue any service offering at any time, provided that Services already confirmed under an active Agreement are not affected.

Where the Website assigns a unique reference identifier to a project or enquiry, the Client is responsible for retaining and providing it when required. The Company is not liable for delays or errors resulting from the Client's failure to do so.

3. Client Responsibilities

The Client is responsible for providing accurate, complete, and timely information and materials as required for the delivery of Services. The Company accepts no responsibility for delays or deficiencies in outputs caused by incomplete, inaccurate, or late inputs. The Client warrants that any materials or data submitted through the Website are accurate, lawfully owned, and do not infringe any third-party rights.

4. Intellectual Property

All deliverables produced by the Company remain its intellectual property until the relevant Agreement has been fulfilled. Upon fulfilment, the Client receives a non-exclusive, non-transferable licence to use the deliverables for the project described in the applicable Quotation. The Client may not resell or sublicence deliverables without prior written consent. The Company may use anonymised, non-identifying engagement data for internal improvement purposes unless restricted by a signed confidentiality agreement.

5. Confidentiality

Both parties agree to keep confidential any proprietary or commercially sensitive information disclosed in connection with an Agreement. Where a formal arrangement is required, the parties may execute a separate Non-Disclosure Agreement, which will take precedence over this clause. Confidentiality obligations survive termination of an Agreement for three (3) years.

6. Limitation of Liability

Services are delivered with reasonable professional care and skill. All outputs are based on information available at the time of delivery and no guarantee is made as to any specific result or outcome. The Company is not liable for indirect or consequential losses arising from the use of its Services or outputs. Nothing in these Terms excludes liability that cannot lawfully be restricted.

7. Termination

Either party may terminate an Agreement by written notice if the other commits a material breach unremedied within 14 calendar days of written notification. The Company may suspend or terminate Services with immediate effect in cases of material misrepresentation or conduct reasonably considered harmful to its operations.

8. Website Use & Privacy

The Website is provided for the purpose of obtaining information about and engaging the Company's Services. Users must not submit false information, attempt unauthorised access, or use the Website in any way that impairs its operation. Personal data submitted through any form, tool, or portal is processed solely to deliver and administer Services and communicate with the Client. The Company does not sell personal data. Data is handled in accordance with applicable data protection law.

9. General

The Company may update these Terms at any time; the revision date above reflects the latest version. Continued use of the Website following an update constitutes acceptance. These Terms are governed by applicable law. Disputes shall first be referred to good-faith negotiation and, if unresolved within 30 days, to mediation or the courts of competent jurisdiction.
